Terms of Service

These Terms of Service ("Terms") govern your access to and use of Azentiq.ai's products, services, and platforms (collectively, the "Services"), including but not limited to Azentiq Memory Manager and Azentiq Connect.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Services Overview

Azentiq.ai provides AI research, products, and adoption services, including:

• Azentiq Memory Manager: Tiered memory management system for AI agents with Redis backend
• Azentiq Connect: Agent patterns for chat and voice with tool orchestration
• RepLyft.ai SaaS Platform: AI-powered reputation monitoring and management solution
• AI Research Services: Applied research on memory-centric agents and evaluation methods
• AI Adoption Consulting: Pilot programs, security reviews, and skills enablement
• Platform Integrations: Integration capabilities with enterprise platforms including Databricks

2. Account and Subscription

2.1 Paid Services

Our Services are provided on a paid subscription basis. Pricing, payment terms, and service tiers will be communicated separately through our sales team or service agreements.

2.2 Account Registration

You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account

2.3 Payment Terms

Payment is due according to the terms specified in your service agreement. Failure to pay may result in suspension or termination of Services. All fees are non-refundable unless otherwise specified in writing.

3. License and Usage Rights

3.1 License Grant

Subject to these Terms and payment of applicable fees, Azentiq.ai grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

3.2 Usage Restrictions

You agree NOT to:

• Reverse engineer, decompile, or disassemble any part of the Services
• Use the Services to develop competing products or services
• Remove, alter, or obscure any proprietary notices
• Share your account credentials with third parties
• Use the Services for illegal, harmful, or fraudulent purposes
• Attempt to gain unauthorized access to any systems or networks
• Overload or interfere with the proper functioning of the Services

3.3 Open Source Components

Certain components of our Services may be provided under open source licenses. Such components are governed by their respective open source licenses available in our GitHub repositories.

4. Platform Integrations

4.1 Databricks Integration

Azentiq.ai is working towards becoming an official Databricks partner. When using our Services with Databricks:

• You must comply with Databricks' terms of service and acceptable use policies
• You are responsible for maintaining your Databricks account and licenses
• Integration features depend on Databricks platform availability
• Azentiq.ai is not responsible for Databricks service interruptions

4.2 Third-Party Platforms

Our Services may integrate with third-party platforms. Your use of such integrations is subject to the terms and policies of those third-party providers.

5. Data and Intellectual Property

5.1 Your Data

You retain all rights to data you input into our Services ("Customer Data"). By using our Services, you grant us a limited license to process Customer Data solely to provide the Services and as described in our Privacy Policy.

5.2 Our Intellectual Property

All rights, title, and interest in the Services, including all software, technology, content, trademarks, and documentation, are owned by Azentiq.ai or our licensors. These Terms do not grant you any ownership rights.

5.3 Feedback

Any feedback, suggestions, or ideas you provide about our Services may be used by Azentiq.ai without any obligation to you.

6. Warranties and Disclaimers

6.1 Service Availability

We strive to provide reliable Services but do not guarantee uninterrupted or error-free access. Scheduled maintenance and updates may cause temporary service interruptions.

7. Limitation of Liability

Some jurisdictions do not allow limitations on liability, so these limitations may not apply to you.

8. Indemnification

You agree to indemnify, defend, and hold harmless Azentiq.ai, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your Customer Data

9. Term and Termination

9.1 Term

These Terms begin when you first access the Services and continue until terminated by either party.

9.2 Termination by You

You may terminate your account at any time by contacting us at contact@azentiq.ai. Termination does not relieve you of payment obligations for Services already provided.

9.3 Termination by Us

We may suspend or terminate your access immediately if:

• You breach these Terms
• Your account is inactive for an extended period
• You fail to pay fees when due
• Required by law or to protect our rights

9.4 Effect of Termination

Upon termination, your right to use the Services ceases immediately. We will provide reasonable assistance in retrieving your Customer Data within 30 days of termination, after which we may delete it.

10. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the provision of Services. This obligation survives termination of these Terms.

Confidential information does not include information that: (a) is publicly available, (b) was known prior to disclosure, (c) is independently developed, or (d) is required to be disclosed by law.

11. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Services. Continued use after changes constitutes acceptance of the new Terms.

If you do not agree to the changes, you must stop using the Services and terminate your account.

12. Governing Law and Disputes

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

12.2 Dispute Resolution

Any disputes arising from these Terms shall first be attempted to be resolved through good faith negotiations. If unresolved within 30 days, disputes may be submitted to binding arbitration or appropriate court jurisdiction.

13. General Provisions

13.1 Entire Agreement

These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and Azentiq.ai regarding the Services.

13.2 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

13.3 Severability

If any provision is found to be unenforceable, the remaining provisions will remain in full effect.

13.4 Waiver

Our failure to enforce any provision does not constitute a waiver of that provision or any other provision.
